Terms of Service

A1. The SELLESS Platform

The SELLESS Platform is online, non-downloadable software provided as a platform as a service. It lets online sellers manage storefronts, checkout, sourcing, quality control, inventory, order tracking and advertising campaigns in a web browser. No software is installed on your devices.

A2. Accounts

You must provide accurate account information and keep your password confidential. You are responsible for all activity under your account. Tell us promptly if you suspect unauthorized access.

A3. Platform fees

There is no monthly subscription fee. For each transaction processed through your SELLESS storefront, SELLESS charges a platform fee of 5%-7% + $0.50 per transaction, and the payment gateway charges 2.9% + $0.30 per transaction. There is no additional fee for products or fulfillment handled through the Platform.

Fees are deducted from your payouts or invoiced as shown in your dashboard. We will give you at least 30 days' notice before we change platform fees.

A4. Acceptable use

You may not use the Platform to:

• sell illegal, counterfeit or infringing goods;
• send unsolicited messages or run deceptive advertising;
• interfere with the security or performance of the Platform; or
• access another customer's account or data.

A5. Your content and data

You keep ownership of your product listings, images, customer data and other content. You grant SELLESS a limited license to host, copy and process that content only to operate the Platform for you.

A6. Third-party integrations

The Platform can connect to third-party payment gateways, marketplaces, sales channels and shipping carriers. Those services are governed by their own terms. SELLESS is not responsible for third-party services and does not guarantee their availability.

A7. Availability and changes

We work to keep the Platform available and secure, but we do not guarantee uninterrupted service. We may add, change or remove features. Where practical, we will tell you in advance before removing a material feature.

A8. Cancellation

You can close your account at any time from your dashboard. We may suspend or close accounts that breach these Terms. After an account is closed, you can export your data for 30 days.

B1. SELLESS Services

SELLESS Services are business services our team performs for you: online advertising services, business management for shops, order fulfillment services and search engine optimization. Services are separate from the Platform. Each engagement is covered by a written proposal or order form (an "Order") that describes the scope, deliverables, fees and term.

B2. Quotes and orders

Quotes are based on the information you provide and are valid for 30 days. Prices on our Services Pricing page are starting prices; the fees in your signed Order apply. Service fees are separate from Platform fees.

B3. Your responsibilities

You will give us timely access to the accounts, stores, assets and information we need. You will approve plans and creatives within the agreed timelines, and you will make sure the products and claims we promote for you are lawful and accurate.

B4. Advertising spend and results

You pay advertising budgets directly to the advertising platform, or reimburse SELLESS, as stated in your Order. Advertising, search and sales results depend on many factors outside our control, and we do not guarantee specific sales, rankings or returns.

B5. Order fulfillment

For Order Fulfillment Services, your Order sets out how responsibility is shared for inventory stored in our partner warehouses. Shipping is billed at carrier cost unless your Order says otherwise. We handle claims for lost or damaged parcels with the carrier on your behalf.

B6. Fees and payment

Unless your Order says otherwise, service fees are invoiced monthly in advance and are due within 15 days. We may pause work while an invoice is overdue.

B7. Term and termination

Each Order runs for the term it states. After the first term, either party may end an Order with 30 days' written notice. Either party may end an Order immediately if the other materially breaches it and does not cure the breach within 15 days of notice.

B8. Deliverables

Once paid for, you own the deliverables we create specifically for you, such as ad creatives, listing copy and reports. We keep ownership of our own tools, templates and know-how.

G1. Disclaimers

Except as expressly stated in these Terms or an Order, the website, Platform and Services are provided "as is". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

G2. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Each party's total liability is limited to the fees paid to SELLESS in the 12 months before the claim.

G3. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules.

G4. Changes to these Terms

We may update these Terms. We will post the new version on this page with a new date and, for material changes, notify account holders by email.
